Terms of Use

1. Acceptance of terms

These Terms & Conditions ("Terms") govern your access to and use of the TradeWings mobile application and related services (together, "TradeWings" or the "Service"), provided by CrateWings Limited ("CrateWings", "we", "us"). By creating an account or using TradeWings, you agree to these Terms. If you're using TradeWings on behalf of a business or organisation, you confirm you're authorised to accept these Terms on its behalf.

2. The service

TradeWings provides AI-powered export-readiness scanning, batch traceability, and a marketplace connecting producers, cooperatives, aggregators, processors, and exporters with buyers. TradeWings is part of the CrateWings trade-infrastructure ecosystem.

3. Eligibility & accounts

You must be at least 18 years old and legally able to enter into these Terms to use TradeWings. You're responsible for the accuracy of the information you provide and for safeguarding your account credentials. Notify us promptly at legal@cratewings.com if you suspect unauthorised use of your account.

4. Acceptable use

You agree not to:

• Upload false, misleading, or manipulated produce/batch information or images.
• Use TradeWings to facilitate fraudulent trade, money laundering, or the export of prohibited or illegally sourced goods.
• Attempt to reverse-engineer, disrupt, or gain unauthorised access to TradeWings or its underlying systems.
• Infringe the intellectual property or privacy rights of others.
• Use the marketplace to harass, defraud, or misrepresent yourself to another user.

5. Export-readiness scores are advisory

TradeWings' AI-generated quality scores and export-readiness assessments are decision-support tools based on the images and data you provide. They are not a substitute for official phytosanitary certification, customs clearance, or regulatory approval, and CrateWings does not guarantee that a given score will result in successful export, customs clearance, or buyer acceptance. You remain responsible for complying with the export, import, and food-safety regulations of every jurisdiction involved in your trade.

6. Marketplace

CrateWings is not a party to, and does not guarantee the outcome of, any transaction between a producer/exporter and a buyer conducted through TradeWings. We do not take title to goods listed on the marketplace. You are solely responsible for the accuracy of your listings and for fulfilling any agreement you enter into with another user. Exercise reasonable diligence before entering a trade.

7. Your content

You retain ownership of the photos, batch records, and other content you submit ("Your Content"). By submitting Your Content, you grant CrateWings a non-exclusive, worldwide, royalty-free licence to host, process, and display it as needed to operate TradeWings (e.g. generating your score, showing your listing to buyers). You confirm you have the right to submit Your Content and that it doesn't infringe anyone else's rights.

8. Intellectual property

The TradeWings name, marks, app, and underlying technology are owned by CrateWings or its licensors and protected by intellectual property law. Except for the licence in Section 7, nothing in these Terms grants you rights to CrateWings' or TradeWings' intellectual property.

9. Fees

Core TradeWings features are currently provided free of charge. We'll notify you in advance, in-app or by email, before introducing any paid features or subscription plans.

10. Disclaimers

TradeWings is provided "as is" and "as available." To the fullest extent permitted by law, CrateWings disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that AI-generated scores will be fully accurate.

11. Limitation of liability

To the fullest extent permitted by law, CrateWings will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost trade opportunities, arising from your use of TradeWings. Our total liability for any claim relating to the Service is limited to the amount (if any) you paid us for the Service in the 12 months before the claim arose.

12. Indemnification

You agree to indemnify and hold CrateWings harmless from claims arising out of your use of TradeWings, Your Content, your trades with other users, or your breach of these Terms.

13. Termination

You may stop using TradeWings and delete your account at any time. We may suspend or terminate your account if you breach these Terms, misuse the Service, or where required by law. Sections 5–12 and 14–17 survive termination.

14. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

15. Dispute resolution

We'll try to resolve disputes informally first — contact us at legal@cratewings.com. If we can't resolve a dispute informally, it will be subject to the exclusive jurisdiction of the courts of Lagos, Nigeria, unless applicable local law in your country gives you the right to bring a claim in your home jurisdiction.

16. Changes to these terms

We may update these Terms as TradeWings evolves. We'll update the "last updated" date above and, for material changes, notify you in-app or by email before they take effect.
